	Our client's plan terminated and all accounts have been distributed except one.  Upon employment, the participant provided an incorrect SSN.  The participant has been unable to provide a valid SSN and is not expected to do so.  Unfortunately, the employer is a small business and failed to obtain I-9 verification.  The account balance is approx. $2500 and is all attributable to employer safe harbor contributions.  He satisfied the eligibility requirements and the funds belong to him, but a distribution cannot be processed using the invalid number, nor can an IRA be established.  I am looking for suggestions on how to handle the remaining funds.

	A small non-pbgc defined benefit plan with 12/31 year end terminates 11/30/2023. All assets are distributed by 5/31/2024.

<p>
	1. Since this plan has a 12/31 plan year end, is the 2023 5500 filing date 7/31/2024 as usual? Or is it 6/30/2024 (7 months after the termination date)?
</p>

<p>
	2. Or do you file 2023 by 7/31/2024 and then for the 2024 year by 12/31/2024 (7 months after all assets were distributed)?

	3. Or are there some other filing due dates?

	We administer a small profit sharing plan for a physician with a total of 9 participants. All plan assets are pooled.
</p>

<p>
	The physician retired in June 2025. He let us know he retired in November 2025. So we had him terminate the plan effective 12/31/2025.
</p>

<p>
	They had 3 employees terminate employment in late 2024. We provided benefit elections to the 3 and they returned the executed benefit elections. In early May 2025, we provided an instruction letter to the physician who is also the sole trustee of the plan to distribute benefits as the participants had elected. Instead of paying their benefits from plan assets he paid them from his company checking account. This even though the instruction letter specifically told him to pay these benefits from the plan.
</p>

<p>
	At this time we want to wrap up this termination by distributing to all remaining participants. We thought it would be a matter of reimbursing the company from plan assets for those participants that were mistakenly paid from the company checking account. However, we just found out that his company checking account no longer exists.
</p>

<p>
	What would you do?

	Hi,
</p>

<p>
	One of the plans is scheduled for termination due to the stock sale, but it has come to our attention that the acquiring company does not offer a 401(k) plan. Typically, under such circumstances, the plan should terminate prior to the sale date, with all contributions ceasing accordingly. However, in this case, while the stock sale date is set for September 30, 2025, employee contributions are expected to continue until December 29, 2025. Could you please confirm whether these post-sale contributions can be accepted? Additionally, if there are any specific compliance considerations or steps we need to take in this scenario.

	How would you address this hypo?
</p>

<p>
	S is in a parent-sub controlled group with 6 subsidiaries: C, D, E, F, &amp; G.
</p>

<p>
	S will sell to B all of S's assets in subs C through F. All of those subs' employees will work for B post-sale. At an uncertain future date, S will sell G's assets to B. At no point will S become part of B's controlled group.
</p>

<p>
	S participates in a multi-employer DC Plan with Z. They are the only two participating employers. S controls all aspects of the Plan. S owns a small stake in Z, but not enough to bring Z into S's controlled group. S's plan operates on a fiscal year, ending on 9/30. The plan uses a NEC SH. The plan will continue NEC contributions for the upcoming plan year.
</p>

<p>
	If S were to terminate its plan on 10/20, the date of closing, or shortly thereafter would it qualify for the IRC § 410(b)(6)(C) short final year exception for the NEC SH, despite no change in controlled group?
</p>

<p>
	Likewise, S will no longer own any part of Z as of 12/31. Does this change your analysis at all?
</p>

<p>
	I'm stumped on this because Treas. Reg. § 1.410(b)-2(f) states that an asset sale qualifies under 410(b)(6)(C), however Section 410(b)(6)(C) also states that a change in controlled group must occur for the exception to apply. It just does not make a lot of sense for an asset sale to qualify under 410(b)(6)(C) when asset sales infrequently result in controlled group changes, as the seller remains intact immediately post-closing.
</p>

<p>
	My hunch is that 410(b)(6)(C) does not apply for either the 10/20 asset sale because no change in controlled group will occur, and that the sale of S's interest in Z to Z's other owners does not alter this analysis.

<p>
	If all participants choose a lump sum distribution, are the excess assets allocated to the PVAB minus the value of the RMD, or are the excess assets allocated to each participant's PVAB?

<p>
	In the second case, the over 73 participants would receive a larger share of excess assets.

<p>
	1) Since the plan is terminating I believe they should calculate and contribute to the plan for the period Jan 01-July 31 it will be for a short plan year correct?

	So, has anyone done a plan termination lately with TIAA where assets are in individual annuities? We haven't for quite some time, and there were, to say the least, difficulties.
</p>

<p>
	When you are terminating a plan, the participant has to be given the option to get a distribution, or roll over the funds. But TIAA "requires" (or did require) the participants themselves to call TIAA if they wanted to surrender. And participants frequently won't bother to do this in a timely fashion.
</p>

<p>
	Do you know how they handle this now? And do you by any chance have the contact information for a person at TIAA who actually KNOWS something and is willing to discuss how a plqan termination can be handled in this situation so that a final 5500 can be filed?
</p>

<p>
	Thanks in advance!

	So, employer does binding resolution to terminate plan as of (x) date, no new contributions, etc., etc. Notification to employees is sent, specifying that date as the effective date of the plan termination. However, PLAN was not amended to terminate by that (x) date.
</p>

<p>
	Arguably, the resolution can suffice, at least temporarily, to legitimately establish plan termination date, and plan can subsequently be formally amended to terminate, update for SECURE, etc.? Or is that a hard no? We always do plan amendment by the day before the formal termination date, but I believe that facts and circumstances can allow otherwise if the resolution, notification to employees, etc., are sufficiently detailed.

<p>
	Plan that is terminating the re-allocation of the forfeiture balance occurred after 180 days of the participants initial distribution, is it mandatory the participants should receive a second communication along with the special tax notice since the participants are receiving the additional money post 180 days of their initial distribution?
</p>

<p>
	Is there any resource of information can be shared in reference to the special tax notice?

	Employer started 401k plan in 2001 and signed an amendment freezing contributions to the plan in 2008.  Since then all assets have been distributed except for 1 participant and the employer has continued to file Form 5500-SFs.  Employer going through a merger and needs to terminate the plan.  Employer cannot locate the original plan document or any amendments or restatements.  The only document we have is the amendment freezing the plan.  We know the plan must be updated prior to termination, but can we just adopt a Cycle 3 restatement and the requirement amendments since then or do we have to go back to 2008 forward and adopt required interim amendments?  Doesn't the Cycle 3 restatement capture those requirement amendments? Trying to figure out the most cost-effective but compliant method to fix this.

	Employer is terminating 403b and profit sharing plan effective 10/31.  Last payroll runs from 10/20 to 11/2.  My understanding is that only compensation paid prior to plan termination can be used to calculate deferrals and employer matching.  Payroll provider is telling me they cannot split the last payroll check between 10/20-10/31 and 11/1-11/2.  Is this a situation where we have to find a solution or is there another way?  I thought maybe we could put language in the termination amendment that the last payroll to be included will be the payroll period ending 10/19, but its my understanding that because employees have elected to have deferrals withheld we have to withhold those deferrals until the plan is terminated (10/31).  Is there an exception to this rule (if I'm correct) for terminations?  Any thoughts/guidance is appreciated!!

		If a plan sponsor wants to undo a plan termination, is the 100% vesting that was stated in the resolution to terminate also reversible?
	</li>
	<li>
		The resolution is not a plan amendment and hence the plan document has not been modified. I am thinking that if the termination resolution stated that all benefits were vested as of the termination date and subsequently a resolution is executed to nullify the plan termination the 100% vesting could be reversed as well.  The plan vesting schedule was never amended. I would think certainly benefits accrued after the termination date could be subject to the vesting schedule going forward. Any thoughts on this?

	5) how does 5500 and Non-discrimination testing work?

	Hello, we are looking at terminating a multiemployer employee benefit plan that provides vacation benefits to the participants. Contributions are made through payroll deduction by the participant's employer. I can find plenty of info from the IRS relating to the termination of a retirement plan, but little to nothing on welfare benefit plans. Can anyone provide guidance?
</p>

<p>

</p>

<p>
	I am assuming we will need to:
</p>

<p>
	1. Amend the plan to state a termination date
</p>

<p>
	2. Ensure all assets of the plan are distributed properly
</p>

<p>
	3. Maybe file a Form 5300?
</p>

<p>
	4. File a final Form 5500

	Haven't come across this one before but just trying to get the timing right with the PBGC and required participant notification-
</p>

<p>
	Small Cash Balance Plan fewer than 10 current and former participants with balance, owner died last year, his widow inherited the shares (she is now the 100% owner and the Plan Trustee she also has a pending death benefit as beneficiary) and the business has been running under a prior contract but that contact is running out so all employees remaining employees were given notice and end of June will be the last payroll.
</p>

<p>
	The company is staying in business through the end of the year at least to wrap any loose ends and such and for compliance reasons terminating effective December 31 might make the most sense from a compliance and testing standpoint. The plan allows for distributions upon termination of employment so what happens if we pay out all the participants before we go through a formal PBGC termination?
</p>

<p>
	The plan is well funded all PBGC premiums are up to date and there is a small surplus that will be allocated to participants per the document. I've never done a PBGC termination after all participants are paid out, assuming they can get all terminated employees paid out relatively quickly. Is that going to be a problem with the PBGC?
</p>

<p>
	I know you are not suppose to payout active employees during the PBGC review and termination process but these will all be terminated vested as of 6/30/24. So it seems we could pay them all out.
</p>

	<span style="font-size:14pt;">I<span style="font-size:16px;">'m assisting with a DB plan termination.  Perhaps there is a prior discussion thread on this topic, but I’ve been unable to find it.</span></span>
</p>

<p>
	<span style="font-size:16px;">The termination process will include purchase (by the plan) of a group annuity and lump sum offers to as many participants as possible, and then execute the formal termination.  The best guess is this will result in a 7-digit surplus.  </span>
</p>

<p>
	<span style="font-size:16px;">First, the sponsor has paid expenses (actuary, auditor, attorney, etc.) directly (from the company, not from the trust) for many years.  Prior to executing the formal termination, the sponsor wants to use up some of the surplus by having the trust reimburse the company for as many of these expenses as possible.  So far, we see nothing in the document that will prohibit this.  However, is there any limit to this?  Could the trust reimburse expenses from the prior 5 years?  10 years?  More?  Do you know any prior examples or PLRs that might address this?</span>
</p>

<p>
	<span style="font-size:16px;">Second, our assumption is that any such reimbursement is NOT a reversion.  Is that a reasonable conclusion?</span>
