NQSOs issued to a director - reported on a 1099?

For NQSOs issued to a non-employee director,  does the Company issue him/her an IRS Form 1099 to report the income on exercise?

It must (on a 1099-Misc as non-employee compensation).

correct - employees get income (and tax w/h) reported thru w-2 but non-employee directors must be reported thru 1099.
