Equity Incentive Plans for Employees: Tax, Legal, and Plan Design Issues

Many companies provide some form of equity compensation to employees as a way to attract, retain, and motivate people. It is, however, challenging to decide who should get grants, how much should they get, and what the rules should be? Furthermore, companies often don’t realize that alternative forms of equity grants exist. This session will provide an overview of the legal, design, and tax implications of equity incentive plans.

Upon completion of the course, you’ll be able to:

  • Explain key rules for stock options, restricted stock, restricted stock units, phantom stock and stock appreciation rights
  • Define who should get equity, how much they should get, and what the rules should be
  • Describe how equity compensation works in LLCs
  • Describe tax implications of equity grants
  • Discuss liquidity strategies for closely held companies
