At the close of 2019, the Treasury Department proposed regulations covering the $1 million deduction limit for public company executive pay under Section 162(m) of the IRS Code. The proposed regulations provide guidance on the significant expansion to Code Section 162(m) under the 2017 Tax Reform Act. The proposed regulations indeed confirm the expanded scope of Section 162 (m) but still leave practitioners scrambling to prepare clients for the practical impact of this expansion and leave many questions unresolved.
