Prior law (including constructive receipt concepts) remains in effect for deferred compensation that is both earned and vested prior to 2005, unless the non-qualified deferred compensation plan is materially modified after October 3, 2004. The Treasury Department is expected to issue guidance in the near future regarding transition issues.
