409(h)(3) states that banks that are prohibited by law from purchasing its own stock are not required to have the put option. When are banks prohibited by law from purchasing its own stock?

Banks and other financial institutions (such as savings and loan associations) are subject to special rules under federal and state banking laws and regulations which may prohibit repurchases of their own stock.
