SMB Posted August 30, 2006 Posted August 30, 2006 Company changed its name. What must/should be done regarding the company's PS Plan? I assume that the plan does not be need to be amended to simply reflect a name change. Would a board of directors' resolution indicating something like: "in conjunction with the company's name change the name of the ABC PS Plan shall as of xx/xx/2006 hereafter be referred to as the XYZ PS Plan" - with possibly a SMM to the same effect - be sufficient? Thanks for any and all replies!
WDIK Posted August 30, 2006 Posted August 30, 2006 1) I would define the course you propose as an amendment to the plan. 2) Changing the plan name is not required, although it may make sense. 3) The document should probably be amended to reflect the sponsor's new name. ...but then again, What Do I Know?
jpod Posted August 30, 2006 Posted August 30, 2006 If it is simply a name change as you stated, you don't HAVE to do anything. You don't need to change the name of the Plan and you don't need to amend the plan to reflect the new name of the employer. You don't need any Board resolutions.
RTK Posted August 30, 2006 Posted August 30, 2006 SMB, you should review the document to determine what, if anything, needs to be amended. Many documents I use specifically define and name the Plan and the Company (without reference to successors and all that). In such case, I amend the document to reflect the new Company name, and if the Plan name is to be changed, the new Plan name as well.
