Posted January 8, 2009 Posted January 8, 2009 hi everyone - a client with fairly shoddy record-keeping provided us with documents to file a determination letter request on their behalf. While they have had 5 amendments since their last letter, no signed copies of these documents exist. What is the best way to submit these documents? Suggestions on explaining to the IRS what happened or giving them some proof that the amendments were actually adopted many years ago? Thanks for your help! Any ideas would be greatly appreciated!
Peanut Butter Man Posted January 8, 2009 Posted January 8, 2009 Were the resolutions which accompanied the amendments signed and dated at the time the amendments were signed? If so, I would submit those resolutions to show that the amendments were signed.

I can see submitting proposed EGTRRA/PPA amendments on termination unsigned (let the IRS fret about verbiage on that amendment so your client only has to sign once), but I'd look REALLY hard to find those signed amendments... We just had a takeover law firm client who decided on their own to file a DL app. $15k penalty later, I'd make sure that somewhere, somehow, your ducks are in a row before submitting to the IRS.
