Guest elmo27 Posted October 21, 2011 Posted October 21, 2011 When are shares for RSUs deducted from the total number of available shares, at the time the RSUs are granted, or when the RSU vests? Any guidance (particularly ISS specific) on this is appreciated. Thanks much!
jpod Posted October 21, 2011 Posted October 21, 2011 How could it be other than at the time of grant if the limit on the number of shares was to have any meaning?

I agree with your response because it's practical but I have had difficulties in finding any ISS guidance (or other) reinforcing this notion. In fact, I have found more references to the contrary (shares are deducted when RSUs vests) so I am confused.
jpod Posted October 21, 2011 Posted October 21, 2011 Well, I believe you, but that surprises me. What difference would it make anyway? Who would inentionally over-grant with the hope that enough shares will fail to vest?
