Issued by Seyfarth Shaw LLP

Feb. 1, 2023

SAN FRANCISCO — Seyfarth has announced that Marc Fosse has joined the firm and will co-chair Seyfarth’s Executive & Equity Compensation practice in the firm’s Employee Benefits department. He comes to Seyfarth from Trucker Huss, where he headed the Executive Compensation practice. He will be based in San Francisco.

Fosse advises clients facing matters covering all facets of employee benefits. He concentrates his practice on tax, securities, corporate, and accounting issues associated with executive and equity compensation arrangements. He advises in the design, implementation, and operation of domestic and international executive nonqualified and supplemental deferred compensation plans, as well as equity-based and other long-term incentive compensation arrangements. His client base includes publicly traded, private, nonprofit, and government organizations.

“Executive compensation is a complex and an increasingly critical matter for clients of all sizes in all sectors that requires a high level of legal understanding and pragmatic considerations,” said Diane Dygert, chair of Seyfarth's Employee Benefits Department. “Both Seyfarth and our clients will benefit greatly from Marc Fosse’s leadership skills as well as his ability find practical solutions for clients on matters relating to all elements involved in employee benefits.”

Fosse collaborates with clients to draft and negotiate executive employment, retention, change in control, and severance agreements and programs. He commonly advises clients on how to handle employee benefit matters in corporate mergers, acquisitions, divestitures, initial public offerings, and other corporate transactions.

Fosse frequently presents to professional and industry groups and publishes on issues related to employee benefits. He is regularly quoted in news and trade publications.

He earned an LLM in Taxation with a Certificate in Employee Benefits from Georgetown University Law Center, JD from University of Wyoming, College of Law, and a BA in Political Science from Brigham Young University.
