"[M]ajority employee owned companies outside the U.S. are relatively rare and employee ownership is generally found almost entirely in listed companies with employees owning a small percentage of shares.... [C]ountries that want sustained, substantial, and broad employee ownership in companies need to provide ways that the ownership is not based on employees making decisions to use current income to buy shares, but rather on company contributions with tax benefits for the companies and/or sellers to employee ownership plans doing this."

"The NCEO has released the 2013 Employee Ownership 100 list, naming the nation's largest companies that are at least 50% owned by an ESOP or other broad-based employee ownership plan.... Excerpt: [The target page offers a look at] the available facts about just what kinds of employee ownership plans exist there. For the broad employee population, there was an employee stock ownership plan (ESOP) that held about $285 million in Bear Stearns stock in 2007. The plan was funded by the company. This was not, however, the sole, or even main, retirement plan at the company. In addition, there was a profit sharing plan funded by the company that had about $300 million in diversified investments and a 401(k) plan with $720 in diversified investments. So from a retirement plan standpoint, Bear Stearns is not at all like Enron and some other companies several years ago where employees were heavily or primarily invested in company stock, generally in their 401(k) plans, and were left with limited or no retirement assets after their companies melted down. The ESOP accounted for about 3% of total Bear Stearns Stock.

Provides more news on the DOL's opinion letter treating stock option "spreads" as wages subject to overtime pay; the date FASB will release its final guidance on stock option accounting; and an explanation of how employee stock ownership plans (ESOPs) can work even in very small companies. Excerpt: "A common misperception about employee stock ownership plans (ESOPs) is that they only work for larger employers. Rules of thumb vary; some practitioners say $1 million in revenues; some say 20 or 30 employees are needed before an ESOP makes sense. Some smaller employers have set up ESOPs quite successfully, however. For instance, Lightworks Optical in Irvine, CA has just 14 employees. It paid between $30,000 and $40,000 to establish its ESOP in legal, valuation, administrative, and accounting costs. The plan, designed primarily as an incentive and reward, provides that the company will contribute new shares of stock to employees. Other plans in small companies have bought out owners."  MORE >>

Here's Help About the Advanced Features That Apply Whenever "All Words" Is Selected in the Search Form

  • Quotation marks have a special meaning when "All Words" is selected in the search form (instead of "Any Word"). Any group of words surrounded by quotation marks is required to be found exactly as they appear, in order for a news item to be a match (in other words, they denote an exact phrase).

    Example. "standard of review"
  • By default, every word must be found in a matching news item (hence the "All Words" nomenclature) unless you include the word "or" (whether or not capitalized). A news item is a match if it has one (or both) of the words on either side of "or".

    Example. vested OR vesting
    Note: This can bite you unexpectedly because the word "or" always triggers that functionality. You'll need to refrain from using the word "or" if you want a fully reliable result that matches "all words."
  • The left parenthesis and right parenthesis have a special meaning because they essentially turn multiple words into a single word equivalent. This is handy for words that are synonyms, whether grammatically or in industry usage.

    Example. If this were entered in the search form, a matching news item would need to contain either the word "vested" or the word "lifetime" (anywhere in the news item), plus the word retirement (anywhere in the news item), plus either the word "benefits" or the word "coverage" (anywhere in the news item):
    (vested OR lifetime) retirement (benefits OR coverage)

    You can separate sets of parentheses (or single words) with the word "AND," whether or not capitalized, if you prefer clarity (but this is not necessary because "and" is assumed when "All Words" is selected in the search form):
    (vested OR lifetime) AND retirement AND (benefits or coverage)

  • The word "not" has a special meaning because a news item will not match if it contains the word that follows the word "not" (whether or not capitalized).

    Example. A way to find news items about recently required plan document amendments, while excluding older items about the amendments that were required for certain laws enacted in 1982 or 1984, would be:
    (amended OR amendments OR restated OR restatement) NOT (TEFRA OR DEFRA OR REA)
    Note: This can bite you unexpectedly because the word "not" always triggers that functionality. You'll need to refrain from using the word "not" if you want a fully reliable result that matches "all words."
